    Terms of Service

    Integrated Service Terms for Lexic.AI — Predictify Solutions S.L., with registered offices at Paseo de la Castellana 200, 28027, Madrid.

    1. Terms of Service

    Effective Date: December 18, 2025

    1.1. Service Description

    Lexic provides a suite of AI-driven solutions: Lexic Pulse (SaaS platform for customer research), AI Health Companion (Patient-Reported Outcomes), and AI Consulting. Lexic guarantees that these Services are built on state-of-the-art infrastructure, prioritizing adaptability and regulatory compliance.

    1.2. Fees and Payment

    • Pricing Structure: The Service consists of a recurring License Fee (platform access) and variable Usage Fees (per call/message/interview).
    • Payment Terms: All invoices shall be paid within thirty (30) days from the invoice date.
    • Taxes: All fees are exclusive of VAT or applicable local taxes.

    1.3. Client Warranties & AI Transparency

    • Consent: The Client warrants they possess a valid lawful basis (Consent or Legitimate Interest) for all data subjects uploaded.
    • Disclosure: The Client must inform end-users that they are interacting with an AI system, in compliance with the EU AI Act.
    • Telecom: The Client is responsible for local "Do Not Call" registries and anti-spam laws.

    1.4. Intellectual Property & Liability

    • Ownership: Lexic retains all rights to its algorithms and software. The Client retains rights to their raw data.
    • Liability: Lexic's total liability is limited to the amount paid by the Client in the 12 months preceding any incident.

    2. Privacy Policy (Unified)

    Effective Date: June 18, 2025

    2.1. Roles

    • Lexic as Data Controller: For website visitors and direct business contacts.
    • Lexic as Data Processor: For "End Customer" data processed via Lexic Pulse on behalf of the Client.

    2.2. Security & AI Governance

    • EU Residency: All primary processing occurs within AWS (Europe Region).
    • Anonymization: We apply automated anonymization protocols to protect data sets before model analysis.
    • Encryption: Data is protected using AES-256 at rest and TLS/SSL in transit.

    2.3. Data Subject Rights

    Individuals may exercise rights of access, rectification, erasure, and portability via dpo@lexic.ai. For Lexic Pulse data, users are encouraged to contact the Client (the Controller) directly.

    3. Service Level Agreement (SLA)

    Annex I to the Terms of Service

    3.1. Uptime Guarantee

    Lexic.AI guarantees a Monthly Uptime Percentage of at least 99.5% for the Lexic Pulse platform.

    3.2. Service Credits

    If uptime falls below the guarantee, the Client is eligible for credits against the monthly License Fee:

    3.3. Support Response Times

    • Critical (System Down): 4 business hours.
    • Standard (Queries): 24 business hours.

    4. Data Processing Agreement (DPA) Summary

    In accordance with Art. 28 GDPR:

    • Instructions: Lexic processes data only on documented Client instructions.
    • Confidentiality: All personnel are bound by strict non-disclosure agreements (NDAs).
    • Sub-processors: Lexic only uses vetted sub-processors (e.g., AWS) and notifies Clients of changes.
    • Breach Notification: Lexic will notify the Client of any data breach without undue delay.
